Legal Workshop Series for Entrepreneurs

Mason Hayes & Curran is pleased to announce a series of workshops covering the main legal issues facing an entrepreneur when raising finance.

The workshops will be led by Martin Kelleher, a Corporate Partner with significant experience in advising on mergers and acquisitions, venture capital and private equity transactions, reorganisations and fundraisings. Martin will provide practical guidance on the legal steps involved in raising finance and how to deal with the issues which commonly arise. There will be a Q&A session at the end of each workshop.

Show Me the Money: Term Sheets & Being Investment Ready
The first workshop will focus on how to make your company “investment ready” in order to minimise the time from finding an investor to completing the investment and on the key terms in an term sheet. This session will look at the key issues which arise at this stage of the investment process and how these can affect the ownership and management of the company.

Money in the Bank: Completing the Investment
The second workshop will focus on completing the investment and the legal documentation and steps necessary to close out the financing. This session will look at the key elements of a subscription and shareholders agreement, the articles of association as well as the differences in approach taken by investors such as Enterprise Ireland, business angels and VC funds.
